Terms of Service
1. DEFINITIONS
- "Service" refers to Alpyne's software platform as described on our website.
- "Managed Business" means a distinct business entity for which Customer uses the Service to provide financial or accounting services.
- "Direct Business User" means a Customer using the Service solely for their own business operations.
- "Service Provider User" means a Customer using the Service to provide services to one or more Managed Businesses.
- "Subscription Type" means either a Direct Business Subscription or a Service Provider Subscription.
2. ACCEPTANCE OF TERMS
By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.
3. SERVICE DESCRIPTION
Alpyne provides a financial analytics platform that enables the transfer of data from various sources (including QuickBooks, Shopify, and other financial systems) into Google Sheets and other analysis environments.
4. SUBSCRIPTION TYPES AND USAGE RIGHTS
4.1 Direct Business Subscription: Allows Customer to use the Service solely for their own business operations.
4.2 Service Provider Subscription: Allows Customer to use the Service for the number of Managed Businesses specified in their subscription.
4.3 Seat Management: For Service Provider Subscriptions, each concurrent Managed Business counts as one "seat." Customers may freely reassign seats between different Managed Businesses at any time but must not exceed their purchased seat limit.
5. DATA SECURITY AND PRIVACY
5.1 We implement industry-standard security measures to protect Customer Data.
5.2 Our use of your data is governed by our Privacy Policy.
5.3 We will promptly notify you of any security breach affecting your data.
5.4 Upon account termination, we will securely delete your data within 30 days, unless legally required to retain it.
6. SERVICE LEVEL COMMITMENT
6.1 We target 99% uptime for the Service, excluding scheduled maintenance.
6.2 We provide at least 48 hours advance notice of scheduled maintenance.
7. INTELLECTUAL PROPERTY
7.1 We retain all rights to the Service, including all intellectual property rights.
7.2 You retain all rights to your data.
7.3 You grant us a limited license to use your data solely to provide the Service.
8. ACCEPTABLE USE
8.1 You agree not to:
- Attempt to reverse engineer the Service
- Access the Service to build competitive products
- Exceed your subscription usage limits
- Use the Service for illegal purposes
- Introduce malicious code or interfere with Service operation
8.2 You are responsible for all activities conducted through your account.
9. GOOGLE API SERVICES USER DATA POLICY
9.1 Our use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
10. CONFIDENTIALITY
We will protect your confidential information with the same degree of care as our own confidential information.
11. WARRANTIES AND DISCLAIMERS
11.1 We warrant that the Service will perform materially in accordance with our published specifications.
11.2 Except as expressly stated, we provide the Service "as is" and disclaim all other warranties, express or implied.
12. LIMITATION OF LIABILITY
12.1 Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages.
12.2 Our total liability shall not exceed the amounts paid by you in the 12 months preceding the incident.
13. TERMINATION
We reserve the right to suspend or terminate your access to the Service for violation of these Terms or for any other reason at our discretion.
14. GOVERNING LAW
These Terms shall be governed by the laws of Utah, United States.
15. CHANGES TO TERMS
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
